Vale – Senior Legal Counsel, Capital Projects -(5+ years)

Vale’s law department is seeking an experienced capital projects and construction law lawyer to join its Canadian head office in downtown Toronto. Reporting to the Head of Legal, North America/UK Operations, the successful candidate will provide legal advice in relation to the development of capital projects within the North America/UK region as well as general commercial law advice. Specific responsibilities will include:

• advising on strategic engineering studies, major capital projects and special development projects including providing deal-structuring advice, developing contracting strategies, and negotiating and drafting Engineering Services Agreements as well as Engineering, Procurement and Construction Management agreements with key suppliers;

• advising the Strategic Procurement team in relation to procurement within North America;

• coordinating with other members of the legal team on related issues (including environmental and regulatory approvals, Aboriginal Affairs matters, labour law matters, intellectual property matters, litigation and community development/external relations issues); and

• acting as lead counsel with respect to special projects, including providing strategic and commercial support for projects, coordinating external counsel, and ensuring alignment with lead counsel for the relevant business units.

The ideal candidate will have 5+ years of post-call experience in capital projects and construction law matters. Specific experience in the mining or natural resources industries will be considered an asset. The company is seeking a decisive and dynamic individual who will complement its energetic team.
