The Job

As Senior Legal Counsel and Assistant Corporate Secretary, you will be reporting to the General Counsel and Corporate Secretary and based in our corporate office in Toronto (Canada). A large part of the role will involve leading or supporting a variety of corporate governance processes and advising on a variety of corporate commercial matters and securities laws. This role will require supporting the board of directors and other executives and their teams.

Qualifications

• Law Degree (LLB or JD)
• Member in good standing with the Law Society of Ontario

Work Experience

• Minimum of 6 years of experience in corporate commercial and securities law
• In-house experience with a mining company would be considered an asset
• Proficient in the development and maintenance of governance policies
• Experience and proficiency in the preparation of public disclosure documents
• Experience and proficiency in negotiating and drafting commercial contracts and transaction management
• Ability to provide sound, risk-informed and practical advice and appropriate mitigation measures

Responsibilities

Board and Corporate Secretary Work includes

• Lead or provide legal support to finance, technical and ESG departments, as required, in the preparation of public disclosure documents and confirm compliance with legal and governance requirements.
• Facilitate satisfaction of legal and stock exchange requirements, board and committee mandates and governance policies.
• Stay up-to-date on emerging trends and changes in legal and stock exchange requirements and governance best practice and industry standards, and make recommendations for changes to Torex’s board/committee mandates and governance policies.
• Lead or provide legal support to finance, technical and ESG departments, as required, in the preparation of board and committee workplans, oversee collation and distribution of board and committee materials, and prepare accurate minutes of meetings and action items for review.
• Lead management of subsidiary governance.
• Complete on-boarding items for new directors and executives (indemnity agreement, registration on SEDI, completion of forms required for filing notification with TSX and Ontario government).

Contract Management and Transaction Legal Support

• Develop a comprehensive approach to enterprise contract management, ensuring engagement and alignment of internal stakeholders, including leading the evaluation, selection and implementation of contract management software.
• Lead the preparation and review of sophisticated non-operations higher-risk contracts, provide recommendations on non-routine clauses and/or deviations from standard clauses
• Supports the legal work for major new initiatives and partners closely with outside counsel to develop recommendations on transaction documents in support of organization transactions
• Ensures new transactions are on track in accordance with work plan, including management of due diligence process
