Corporate Counsel – Cordelio Power

Cordelio Power, a wholly owned portfolio company of Canada Pension Plan Investment Board, is an independent renewable power producer that develops, owns, and manages renewable power facilities across North America. Cordelio has more than 1,200 MW of renewable power assets under management in Canada and the United States, and a growth pipeline of over 18,000 MW of wind, solar and storage projects.
With offices in Toronto, Vancouver, New York, Chicago, and Maine, Cordelio’s operations and growth activities are performed with a view toward working with all stakeholders in an efficient, safe, and environmentally responsible manner.
Cordelio is seeking a Corporate Counsel to join their team rapidly growing team. This role will be responsible for providing strategic advice on transactional matters, including mergers & acquisitions, project development and financing as well as day-to-day corporate matters. The position reports directly to the General Counsel & Senior Vice President, Transactions, and works closely with the rest of the legal team.
Although all locations will be considered, Cordelio prefers that this position be located in the company’s Toronto office.
Key responsibilities include:
- Providing legal support and advice to the company’s development, operations, and project finance teams.
- Drafting, negotiating, and managing corporate agreements, including debt and equity financings (corporate and project level); acquisitions of renewable energy projects and assets; commercial agreements (offtake, procurement, supply and operations); and real property agreements (leases, easements, and options).
- Advising on legal issues and risks, complex agreements, approval processes, corporate governance, tax structuring, company policies and procedures and business strategy.
- Developing and maintaining expert and current knowledge on new developments and legal guidance relevant to our business and industry.
- Performing and leading legal due diligence as key member of our transaction team.
- Managing relationships with internal advisors, investors, external counsel, and other stakeholders.
- Assisting with general commercial, risk management, HR matters and special projects as needed.
The successful candidate will have 4-8 years of experience in mergers and acquisitions, debt and equity or project finance, and/or securities, ideally obtained at a top tier firm. You will have top notch communication skills, including an ability to understand, interpret, and explain complex contractual terms, legal principles, and relevant risks to company stakeholders at various levels. You will also be flexible and adaptable to working in a high-change, rapid growth environment. Experience and/or demonstrated interest in renewable energy (including in-house experience) is strongly preferred.
