Sr Manager or Director, Business & Legal Affairs (Entertainment Law)

The Senior Manager or Director, Business & Legal Affairs will be required to draft and negotiate production related agreements, negotiate broadcast license and distribution agreements, review, negotiate and close interim financings, assist in structuring co-productions, liaise with broadcasters, distributors, funding agencies, guilds and tax credit authorities, advise management executives on talent guild matters, funding agency requirements, and legal and regulatory matters, and advise on general legal and corporate matters.
Responsibilities:
- Negotiating, drafting and finalizing all required production, development, writer/director/producer /talent agreements and releases.
- Reviewing and negotiating broadcast license and distribution agreements, review, negotiate and close interim financings, assist in structuring co-productions, liaise with broadcasters, distributors, funding agencies, guilds and tax credit authorities, advise management executives on talent guild matters, funding agency requirements, and legal and regulatory matters.
- Instructing script clearance houses to prepare clearance reports, and title clearance companies to prepare title reports, and advising on rights clearances, title report and areas and levels of risk and exposure.
- Work closely with the Business and Legal Affairs Coordinators across the various offices in the tracking and diarizing legal and business affairs deliverables for each project and being responsible for ensuring that all such deliverables are delivered on a timely basis.
- Reviewing credits, billing blocks and paid ads credits to ensure contractual compliance with all applicable agreements.
- Other legal and business affairs tasks as may be required including reviewing and advising on corporate legal agreements (real estate leases, NDAs, etc.)
Qualifications & Skills:
- Qualified lawyer with a J.D. or LL.B. degree from a top tier Canadian or American university and in good standing with the Law Society of Ontario.
- 1-3 years of work experience in-house or in a law firm (experience practicing entertainment law is an asset, but not a requirement).
- Sound legal and business judgement to make effective decisions and problem solve.
- Positive, professional team player who can work independently, reliably and efficiently.
- Well organized, detail-oriented, with the ability to prioritize multiple tasks and conflicting deadlines under pressure.
- Ability to effectively multitask simultaneously amongst several production, development and licensing/distribution issues.
- Excellent communication skills, both oral and written with all levels of staff, independent contractors and outside parties.
- Knowledge of the Canadian/US entertainment industry, including funding environment and all union and guild agreements and regulations and issues, is an asset but not required.
